These Terms constitute a legally binding agreement between You and VendorBidz ("we", "us", or "our"). They govern your access to and use of all VendorBidz services including automated procurement, reverse auctions, vendor matching, analytics, and related tools (the "Services").

Acceptance of Terms

Please read these Terms carefully before accessing or using the Platform. By accessing or using VendorBidz, you agree to be bound by:

VendorBidz reserves the right to amend these Terms at any time by posting an updated version on the Platform. Continued use of the Platform constitutes acceptance of the updated Terms.

1. Proprietary Rights

1.1 Ownership

VendorBidz and its licensors retain all rights, title, and interest in the Platform and Services, including all intellectual property rights software, AI algorithms, UI/UX designs, databases, trademarks, and brand assets.

You shall NOT:

  • · Copy, modify, or reproduce the Platform
  • · Reverse engineer or extract source code
  • · Sell, sublicense, or commercially exploit Services
  • · Use VendorBidz branding without permission

1.2 User Data & License

You grant VendorBidz a royalty-free, non-exclusive, irrevocable, transferable license to use any data or content you provide including business information, product listings, bid data, and logos to operate the Platform, enable auctions, provide Services, and perform aggregated analytics.

2. User Obligations

Required

Prohibited

  • · Fraudulent bidding or manipulation
  • · Misrepresentation of products or specs
  • · Sharing account credentials

3. Platform Role

VendorBidz provides a robust procurement ecosystem, ensuring seamless vendor discovery, automated bidding, and secure procurement workflows. We take pride in ensuring high-quality products, managing reliable deliveries, and actively resolving any queries or disputes to guarantee satisfaction. Product warranty and guarantee are subject to the respective product's policy.

4. Auction Rules & Payments

  • FINALITY:

    Every bid submitted is a legally binding offer to fulfill the requirement at the specified price.

  • ₹10 RULE:

    Every new bid must be at least ₹10 lower than the current lead per unit to maintain healthy competition.

  • LIMIT:

    Each vendor is limited to 3 bid attempts per auction to prevent algorithmic manipulation.

4.1 Platform Commission & Payments

Payments are securely processed through Razorpay. To maintain our services, VendorBidz charges a nominal commission or platform fee on successful transactions. Customers must settle the full amount, including the winning bid, applicable GST, and platform fees, upon auction closure. VendorBidz acts as a facilitator and may offer escrow-like transaction safeguards.

5. Limitation of Liability

VendorBidz is committed to ensuring a secure platform, but cannot be held liable for unforeseen technical downtime or disruptions beyond our control.

All Services are provided on an "as-is" and "as-available" basis.

6. Termination

We reserve the right to suspend or terminate accounts, restrict access, or remove content in case of violation of these Terms or applicable laws.

7 & 8. Privacy & Governing Law

Use of the Platform is also governed by our Privacy Policy. These Terms are governed by the laws of India, and all disputes shall be subject to the jurisdiction of courts in India.
